The recent €12.74 million capital increase, following a previous €1.7 million issuance, represents a crucial step towards its larger goal: building a proprietary fiber and mobile network, effectively diminishing its reliance on Telefónica’s infrastructure. The sheer scale of this undertaking—estimated to be incredibly expensive—has spurred the accelerated push for an IPO.

DIGI's board confirmed the issuance of 191.2 million new shares on March 23rd, a move that, according to sources at Cinco Días, is designed to “adapt the company to its current size and its new form of organization as a public limited company.” This isn’t just a financial maneuver; it’s a legal prerequisite for a successful IPO. The restructuring, which took effect on December 16th and is now reflected in customer invoices, involves the creation of two tiers of shares—a significant shift in the company's operational structure.
The move towards a public listing isn’t about chasing external investors for a majority stake. Rather, it’s about capitalizing on years of consistently strong financial performance in Spain. The anticipated April 8th completion of the share offering and a potential market debut later that month suggest DIGI is confident in its valuation and prepared to face the scrutiny of public markets.
